1.Terms of Use

1.1 UrbnHelp Co. ("us", "we", or "our") operates and owns the urbnhelp.com website and the UrbnHelp mobile application (hereinafter referred to as the "UrbnHelp").
1.2 This Terms of Use constitute a legally binding agreement between you and UrbnHelp Co. Please read these terms of use carefully before you register or signup with us or access or use any services related to UrbnHelp.When you register or signup with UrbnHelp or access or use any services related to us, you accept, agree and will comply with these terms of use and will be legally bound by them. These terms of use apply to all visitors, users, service providers, partner drivers and others (“you”, “your” or “yours”) who register, signup, access or use any services related to UrbnHelp.

2. About UrbnHelp
2.1 UrbnHelp is a technology company that provides the platform for the service providers and partner drivers to connect with the users and vice versa. We are not and do not act as an employment company, manpower company, transportation company, delivery or courier company. All services offered within UrbnHelp are provided by the independent and third-party Service Providers and Partner Drivers registered to us and are not in any way connected to UrbnHelp Co.
2.2 Likewise, all individual Users registered in UrbnHelp are independent and not in any way connected to us.

3. Obligations and Undertakings
3.1 Accounts
3.1.1 When you register, signup or create an account with us, you hereby confirm that you are either a User, Service provider, Partner Driver or any combination of both and that you are of legal age (18 years of age and above) and have the authority and capacity to enter to these terms of use.
3.1.2 You must make sure that all information and documents your provided are accurate, complete, and up-to-date at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account. 
3.1.3 You will be responsible for safeguarding the password that you use to access UrbnHelp and for any activities or actions under your password. 
3.1.4You will maintain only one account.
3.1.5You will only use your name and will not use any aliases or any other name that may cause confusion with regards to your identity. 

3.2Use of UrbnHelp
3.2.1 You will not use UrbnHelp for any illegal or fraudulent activities and will only use UrbnHelp for the purpose in which it is designed for and intended to be used.
3.2.2 You will not access any part of UrbnHelp which you are not authorize to access. 
3.2.3 You will not “hack”, “crawl”, “mine” or reverse engineer any part of UrbnHelp including its database and server.
3.2.4 You will not send or upload any materials to UrbnHelp containing virus, trojan horse, malicious script or any program. Likewise, you will not try to access UrbnHelp using virus, trojan horse, malicious script or any program.
3.2.5 You will not hamper or disrupt our service, network, server or internet connection.
3.2.6 You will not use UrbnHelp with a purpose of gaining an insight to our system, features and technology to duplicate or create similar product, technology or features.

3.3General Conduct
3.3.1 You agree to be courteous, respectful and not to discriminate other users, service providers and partner drivers. 
3.3.1 You will not give fake review, ratings or comments to any users, service providers and/or partner drivers. 
3.3.3You will not engage in spamming UrbnHelp and/or any of its registered Users, Service providers and Partner drivers.
3.3.4You will not contact any Users, Service providers or Partner drivers for any purposes outside the scope of service.
3.3.5You will ensure the privacy of the users, service providers and partner drivers in accordance to our privacy policy.
3.3.6 If you are a User, you will not make any false booking or make a booking you do not intend to complete.
3.3.7You will ensure that you will pay the fee for the service provided to you by the service providers and/or partner drivers. 
3.3.8 If you are a service provider or a partner driver, you will ensure that you will complete the service that was booked from you with highest quality and professionalism and youwill ensure the safety of the users and their properties.
4. Account Termination
4.1 We reserve the right at our own discretion to terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
4.2 When your account is terminated, your right to use UrbnHelp will immediately cease. 
4.3 If you wish to terminate your account, please contact us for your account deactivation.
5. Changes
5.1 We may revise, update or change these terms of use at any time. If a revision is made, we will notify you with the new revision. What constitute a revision will be determined at our sole discretion.
5.2 By continuing to access or use UrbnHelp or any part or our service or system after a revision became effective, you agree to be bound by the revised terms of use. If you do not agree with the revised terms of use, please stop using or accessing UrbnHelp and immediately contact us for your account deactivation.
6. Taxes
6.1 These Terms of Use is subject to all prevailing statutory taxes, duties, fees, charges and/or costs, however denominated as applicable from any point of time.
6.2 You agree to the extent applicable and as required by the law, to defend, assist and/or enable UrbnHelp to claim or verify any input tax credit, set off, rebate or refund in regards to any taxes paid or payable in connection with the use of service under UrbnHelp.
7.Content
7.1 UrbnHelp allows you to post, store, share and otherwise make available service-related information or materials ("Content"). You are responsible for the Content that you post to UrbnHelp, including its legality, reliability, and appropriateness.
7.2 By posting Content to UrbnHelp, you grant us the right and license to use, modify and distribute such Content on and through UrbnHelp. You retain any and all of your rights to any Content you submit, post or display on or through UrbnHelp and you are responsible for protecting those rights. You agree that this license includes the right for us to make your Content available to other users of UrbnHelp, who may also use your Content subject to these Terms.
7.3 You represent and warrant that: 
7.3.1 The Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms.
7.3.2 The posting of your Content on or through UrbnHelp does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity.
8.Copyright Policy
8.1 We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on UrbnHelp infringes the copyright or other intellectual property infringement ("Infringement") of any person.
8.2 If you are a copyright owner, or representative on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, you must submit your notice in writing to the attention of "Copyright Infringement" of info@urbnhelp.com and include in your notice a detailed description of the alleged Infringement.You may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing your copyright.
9.Limitation of Liability
9.1 In no event shall UrbnHelp Co., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation to loss of life, damage to property, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
9.1.1 Natural events (i.e. floods, earth quake, fire, storm or any event considered as act of God)
9.1.2 Unnatural events such as accidents, incidents, criminal acts, act of war, etc. 
9.1.3Your access to or use of or inability to access or use UrbnHelp
9.1.4 Any conduct or content of any third party on UrbnHelp
9.1.5 Any content obtained from us
9.1.6 Unauthorized access, use or alteration of your account or content. 
9.1.7 Any failed,incomplete and non-payment of booking or services.
10.Disclaimer
10.1 Your use of UrbnHelp is at your sole risk. UrbnHelp is provided on an "AS IS" and "AS AVAILABLE" basis. UrbnHelp is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
10.2 UrbnHelp Co., its subsidiaries, affiliates, and its licensors do not warrant that:
10.2.1 UrbnHelp will function uninterrupted, secure or available at any particular time or location
10.2.2 Any errors or defects will be corrected
10.2.3 UrbnHelp is free of viruses or other harmful components
10.2.4 The results of using UrbnHelp will meet your requirements.
12.Governing Law
12.1 These Terms shall be governed and construed in accordance with the laws of Philippines, without regard to its conflict of law provisions.
12.2 Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Applications, and supersede and replace any prior agreements we might have between us regarding UrbnHelp.
